1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Nexase LLC, doing business as FMRX ("FMRX," "we," "us," "our"), governing your use of the FMRX website, iOS application, and related services (the "Services"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. Use of our iOS app is also governed by our End User License Agreement (EULA).

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services you represent that you are 18 or older and have the legal capacity to enter into these Terms.

3. The Services; Informational Purposes Only

FMRX provides Vedic astrology content, including birth charts, transits, forecasts, and AI-generated readings, chat responses, and journal reflections.

Important Disclaimer: All content provided through the Services — including astrological interpretations and AI-generated content — is for informational, reflective, and entertainment purposes only. It is not, and must not be relied upon as, medical, psychological, legal, financial, or other professional advice, and it is not a prediction of future events. Always seek the advice of qualified professionals for such matters. AI-generated content may contain inaccuracies; use your own judgment.

4. Accounts and Registration

  • You must provide accurate, current, and complete information, including a valid mobile phone number for SMS verification and accurate birth information for astrological calculations
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account
  • SMS verification is governed by our SMS Terms

5. Subscriptions and Payment

5.1 Auto-Renewing Subscriptions

  • Certain features require a paid subscription. Subscription options, durations, and prices are displayed at the point of purchase
  • Subscriptions renew automatically at the end of each subscription period at the then-current price unless you cancel at least 24 hours before the end of the current period
  • Payment is charged to your payment method at confirmation of purchase

5.2 Purchases Through Apple

  • Subscriptions purchased in our iOS app are billed by Apple through your Apple Account
  • You can manage or cancel your subscription in your device Settings → Apple Account → Subscriptions
  • Refunds for App Store purchases are handled by Apple under its policies; request one at reportaproblem.apple.com

5.3 Purchases on the Web

  • Web subscriptions are billed by our payment processor, Stripe
  • You can manage or cancel your web subscription in your account settings or by contacting support@fmrx.ai
  • Except where required by law, payments are non-refundable and no refunds or credits are provided for partial subscription periods

5.4 Price Changes

We may change subscription prices. Price changes apply no earlier than your next renewal, and we will provide advance notice as required by applicable law and platform rules; where required, a price increase will take effect only with your consent.

6. User Content

  • You retain ownership of the content you submit to the Services, such as journal entries and chat messages ("User Content")
  • You grant FMRX a limited, worldwide, non-exclusive license to host, process, and display User Content solely to operate and provide the Services, including processing by our AI service providers as described in our Privacy Policy
  • We do not use your User Content to train third-party AI models
  • You are responsible for your User Content and must have the rights to submit it

7. Acceptable Use

You may not:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Attempt to circumvent authentication, security, or subscription controls
  • Reverse engineer, scrape, or extract data from the Services except as permitted by law
  • Use the Services to harass, harm, or defraud others, or to generate content that infringes third-party rights
  • Use automated systems to create accounts or generate excessive requests

8. Intellectual Property

The Services, including software, design, astrological content, and AI-generated outputs (excluding your User Content), are owned by Nexase LLC or its licensors and are protected by intellectual property laws. We grant you a limited, personal, non-transferable, non-exclusive, revocable license to use the Services for personal, non-commercial purposes.

9. Third-Party Services

The Services depend on third-party providers (e.g., Apple, Stripe, RevenueCat, Anthropic, Twilio). We are not responsible for third-party services, and your use of them may be subject to their own terms. Message and data rates may apply to SMS.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CONTENT (INCLUDING AI-GENERATED CONTENT) WILL BE ACCURATE OR RELIABLE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXASE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify and hold harmless Nexase LLC and its officers, employees, and agents from claims arising out of your violation of these Terms or misuse of the Services.

13. Termination

You may stop using the Services and delete your account at any time (in-app: Settings → Account → Delete Account). We may suspend or terminate your access for violation of these Terms or where required by law. Sections that by their nature should survive termination (including Sections 3, 6, 8, and 10–12) survive.

14. Modifications to the Terms

We may modify these Terms from time to time. We will post the updated Terms and revise the "Last Updated" date, and will provide additional notice of material changes. Continued use of the Services after changes take effect constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of New Mexico, without regard to conflict-of-law principles. Nothing in these Terms limits any non-waivable rights you have under the laws of your place of residence.
